PPC Foiling Seller Agreement

PPC FOILING – SELLER AGREEMENT

Between:

PPC Foiling Ltd (“PPC”) and (“Seller”)

Effective Date: From application

Term: Ongoing until terminated by either party

1. Purpose

This agreement outlines the terms under which the Seller will purchase and sell PPC

Foiling products through their retail business. The goal is to ensure consistent brand presentation, customer experience, and service quality across all PPC stockists worldwide.

2. Product Range

The Seller is authorised to purchase and resell the full range of PPC Foiling products, including wings, boards, foils, and accessories, under the conditions of this agreement.

3. Pricing & Sales Policy

All purchases are made at PPC’s wholesale volume tier pricing system. Retail pricing must follow PPC’s Minimum Advertised Price (MAP) policy.

Discounting or promotional sales to the public may only occur with written approval from PPC. Exceptions may apply to close-out or discontinued products, as agreed between both parties.

4. Stock & Servicing Responsibilities

The Seller must maintain a reasonable stock level of PPC products and essential service parts, including materials, bladders, and repair components. Sellers are expected to provide prompt and professional after-sales service to PPC customers.

Warranty claims are handled in collaboration with PPC and assessed case-by-case.

5. Marketing & Branding

PPC will provide authorised marketing assets, images, and logos via the PPC Seller Dropbox.

All promotional use of PPC branding must align with PPC’s visual identity and tone. Any independent marketing or co-branding initiatives require prior PPC approval.

6. Orders & Payments

Orders are subject to PPC’s standard payment terms and conditions. PPC reserves the right to revise wholesale pricing or product availability with reasonable notice.

7. Termination

This agreement remains in effect until terminated by either party with 30 days’ written notice.

Termination may occur immediately if either party breaches key terms or engages in conduct harmful to the PPC brand.

8. Confidentiality

All wholesale pricing, product specifications, and business information shared by PPC must be treated as confidential and not disclosed to third parties.

9. Governing Law

This agreement is governed by the laws of New Zealand, and any disputes will be subject to the jurisdiction of the New Zealand courts.
